1. Acceptance of Terms

• Using ELD Nexus software, hardware, website, or services means you agree to these Terms.
• If you do not agree, you must not use the Services.
• Continued use after updates means acceptance of revised terms.

2. Eligibility

• Users must be:
  • Licensed drivers, fleet operators or authorized personnel
  • At least 18 years’ old
• Users outside the U.S. and Canada are responsible for local law compliance.

3. Account Registration & Security

• Accurate and complete information is required.
• Users are responsible for:
  • Protecting login credentials
  • All activity under their account
• Unauthorized access must be reported immediately.

4. Software License & Usage

• Software is licensed, not sold.
• Limited, non-exclusive, non-transferable license.
• Users may NOT:
  • Reverse engineer or modify the software
  • Circumvent security
  • Use services for illegal purposes

5. Software Features

• Driver logs (FMCSA Part 395 & Transport Canada compliant)
• Automatic duty status recording
• DVIR
• GPS tracking and trip logs
• Tamper-proof compliance records

6. Software Activation & Credentials

• Software-only plans:
  • Activated instantly if a compatible device exists
  • Login credentials emailed within 2 hours
• Hardware + software bundles:
  • Credentials issued after device delivery
  • Credentials have no value without the device.

7. Hardware Delivery

• Physical products delivered within 7–10 business days
• Delivery timelines are estimates, not guarantees.

8. Subscriptions, Payments & Fees

• Subscription or per-device pricing.
• Billed in USD (or CAD for Canada).
• Non-payment may result in suspension or termination.
• Refunds governed strictly by the Refund Policy.

9. User Obligations

• Users certify all logs and data should be accurate.
• Users must comply with:
  • FMCSA regulations in USA.
  • Transport Canada regulations.
• ELD Nexus is not responsible for violations caused by user negligence.

10. Inspections & Compliance

• Authorized inspectors may access logs during roadside inspections
• Users are responsible for compliance readiness
• No liability for citations, fines, or penalties

11. Intellectual Property

• All software, branding, and content belong to ELD Nexus.
• No copying, resale, or commercial exploitation without permission.

12. Limitation of Liability

• Services provided “as-is”
• No liability for:
  • Direct or indirect damages
  • Lost profits
  • Regulatory penalties
• Use is at user’s own risk

13. Indemnification

• Users agree to indemnify ELD Nexus for:
  • Misuse
  • Legal violations
  • Breach of terms

14. Termination

• ELD Nexus may terminate access for:
  • Non-payment
  • Violations
  • Fraud or illegal activity
• Termination does not waive outstanding payments

15. Governing Law & Jurisdiction

• Governed by California, USA law
• Disputes resolved in California courts

16. Force Majeure

• No liability for delays caused by events beyond control
